These Terms of Service ("Terms") govern your use of HeyUp's AI-powered voice receptionist services. By using HeyUp, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Service Description
HeyUp provides AI-powered voice receptionist services that automatically answer phone calls, handle customer inquiries, book appointments, and manage communications for businesses. Our services include natural language processing, voice recognition, automated scheduling, and integration with various business tools and platforms.
2. Eligibility and Account Registration
To use HeyUp services, you must:
- Be at least 18 years old and have the legal capacity to enter into contracts
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be a legitimate business entity or authorized representative
You are responsible for all activities that occur under your account and must immediately notify us of any unauthorized use.
3. Service Usage and Responsibilities
Permitted Use
You may use HeyUp services solely for legitimate business purposes, including:
- Customer service and support communications
- Appointment scheduling and booking
- Information inquiries and FAQs
- Order taking and transaction processing
- Business directory and routing services
Prohibited Uses
You may not use HeyUp services for any illegal, harmful, or prohibited purposes, including but not limited to:
- Scams, fraud, or deceptive practices
- Spam, unsolicited communications, or harassment
- Illegal activities or violation of applicable laws
- Impersonation of individuals or organizations
- Collection of personal data without proper consent
- Reverse engineering or unauthorized access to our systems
- Excessive or abusive use that impacts service quality
- Content that is offensive, discriminatory, or harmful
3.1 Client Responsibilities
You, the client, assume full and exclusive responsibility for all aspects of your use of HeyUp services. This includes, without limitation:
- All business operations, customer communications, and interactions facilitated by our services
- Obtaining and maintaining all necessary consents, permissions, and legal compliance (including GDPR, CCPA, and other data protection laws)
- The accuracy, legality, and appropriateness of all data, content, and AI configurations you provide
- Any damages, losses, claims, or liabilities arising from your use of the services, including those caused by AI errors, data breaches, or third-party integrations
- Monitoring and ensuring the services meet your business needs and legal requirements
- All financial, operational, and reputational risks associated with your business
HeyUp provides services "as is" and disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. You acknowledge that AI technology is inherently unpredictable and that HeyUp has no control over or responsibility for service outcomes.
5. AI and Content Accuracy
HeyUp uses artificial intelligence to process voice communications and generate responses. AI technology is inherently unpredictable and may produce inaccurate, inappropriate, or harmful content:
- AI-generated responses are provided without any warranties of accuracy, completeness, or suitability
- You are solely responsible for all AI responses, configurations, and any errors or harms resulting therefrom
- You must ensure all business information provided to HeyUp is accurate and up-to-date
- HeyUp is not liable for any AI errors, miscommunications, or their consequences, including business losses or legal claims
6. Data and Privacy
Your use of HeyUp services is also governed by our Privacy Policy. You are the sole data controller and bear all responsibility for data protection compliance. HeyUp acts only as a processor and disclaims all liability for data-related issues. Key points include:
- You retain ownership of your customer data and business information
- You are responsible for obtaining proper consent for data collection and processing
- You must comply with applicable data protection laws (GDPR, CCPA, etc.)
- Voice recordings and call data are processed according to our Privacy Policy
- You grant us permission to process data necessary to provide our services
7. Payment Terms
Billing and Payment
- Service fees are billed according to your selected plan and usage
- Payment is due in advance for subscription services
- Usage-based charges (calls, minutes) are billed monthly in arrears
- All fees are exclusive of applicable taxes
- Late payments may result in service suspension
Refunds
Subscription fees are generally non-refundable. Refunds for overcharges or billing errors will be processed within 30 days of identification. Custom enterprise agreements may have different refund terms.
Price Changes
We may change pricing with 30 days advance notice. Price changes will not affect current billing periods but will apply to renewals.
8. Service Availability and Support
Service Level
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. Service outages due to factors beyond our control (natural disasters, third-party issues) are not covered by uptime guarantees. Services are provided without any uptime, performance, or reliability guarantees. You are responsible for any business impacts from outages or issues.
Support
Support is provided according to your service plan. Response times vary by plan tier. We provide documentation, email support, and for premium plans, phone and priority support.
9. Third-Party Integrations
HeyUp integrates with various third-party services (calendars, CRMs, communication platforms). When using integrations:
- You are responsible for maintaining valid accounts with third-party providers
- You must comply with each third-party's terms of service
- Integration issues caused by third-party changes are not our responsibility
- We may discontinue integrations with advance notice
HeyUp has no responsibility for third-party services, their performance, or any issues arising from them. You indemnify HeyUp for all claims related to integrations.
10. Intellectual Property
Our IP
HeyUp's technology, software, AI models, and service offerings are protected by intellectual property laws. You receive a limited license to use our services but do not acquire any ownership rights.
Your Content
You retain ownership of your business data, customer information, and content. By using HeyUp, you grant us a license to process and use this content solely for providing our services.
11. Limitation of Liability
To the maximum extent permitted by law:
- HeyUp's total liability, if any, is limited to the amount of fees paid by you in the 3 months preceding the claim, not to exceed €10,000
- We exclude all liability for indirect, incidental, consequential, special, or punitive damages, even if foreseeable
- This includes, but is not limited to, business losses, lost profits, data loss, AI errors, third-party claims, or regulatory fines
- Our liability for data breaches or security incidents is limited to our insurance coverage
- AI errors or miscommunications are not covered under liability
12. Indemnification
You agree to indemnify, defend, and hold HeyUp harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your use of the services; violations of these Terms; infringement of third-party rights; customer interactions or communications; data handling or privacy breaches; legal compliance failures; AI-generated content; third-party integrations; or any other aspect of your business operations.
13. Termination
Termination by You
You may terminate your account at any time. Termination will be effective at the end of your current billing period. You remain responsible for all charges incurred until termination.
Termination by Us
We may terminate or suspend your account immediately for violations of these Terms, illegal activity, non-payment, or if we determine continued service is not viable. We will provide notice when possible.
Effect of Termination
Upon termination, your access to services ends immediately. We will retain your data according to our Privacy Policy and applicable laws. Some provisions survive termination, including payment obligations and liability limitations.
14. Dispute Resolution
Informal Resolution
We encourage resolving disputes through direct communication. Contact our support team first for any issues.
Binding Arbitration
Any disputes not resolved informally will be settled through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in English and the location mutually agreed upon.
Class Action Waiver
You agree to resolve disputes only on an individual basis and waive any right to participate in class actions or representative proceedings.
15. Governing Law
These Terms are governed by the laws of France, without regard to conflict of law principles. The courts of Paris, France shall have exclusive jurisdiction over any disputes arising from these Terms.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or service notifications at least 30 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
